In attendance: Greg Whitaker, Debbie Vance, Jason Lawson, Trisha Orr, Barry Woodward, Pat Giordano.
Meeting opened: 11:27 by President Greg Whitaker
Discussion of updating Bylaw changes: Membership: Membership in the Chapter shall be open to persons in good standing who satisfy the requirements of the Membership Policy.
Voting Rights. All persons in a voting-eligible category of Membership are entitled to one vote on each matter submitted to a vote under the Membership Quorum.
Example: Beginning in the 2019 Election/Voting will be conducted by each paid up to date current member casting their vote via email (ballot will be sent to members) returned to the treasurer and secretary for membership verification and tallied vote.
Positions of Leadership. Positions on the Board of Officers may only be held by voting-eligible Members, subject to the individual satisfying all other eligibility criteria for the position being sought, except that individuals selected to a post that is intended to solely represent Association members in a non-voting category must themselves be members in the same non-voting category.
Revocation. If, at any time, a member shall violate any of the terms of Membership, the Association may revoke the individual’s membership pursuant to the policies and procedures of the Association.
Membership Quorum. Voting-eligible Members attending a business meeting shall constitute the Membership Quorum.
Qualifications. Candidates for the Executive Committee shall meet or exceed the minimum qualifications listed below:
Be a voting-eligible Member in good standing
Be a citizen of the United States
Have served at least two years in an elected office Board Member position of the Georgia 911 Directors Association
Shall have attended a minimum of two of the last three meeting.
Meetings by Phone Web conferencing open to membership. Executive sessions must be announced.
Life Membership
Retired members.
Add to Treasurer duties – Treasurer reports will be filed for review by an independent Certified Public Accountant as directed by the board. To administer the Pay Pal account with the Treasurer and President having access to the password.
Motion made by Barry Woodward to make the changes to the Bylaws effective January 1, 2019, Second by Pat Giordano. Motion carried.
Debbie Vance presented information on a company to do a website for the Association. The company is FOI Designs. The cost for designing, developing and delivery is $2,500.00 and $1200.00 for yearly hosting/server maintenance retainer.
Motion was made by Barry Woodward to accept the FOI Designs proposal. Second by Pat Giordano. Motion Carried.
Motion to adjourn was made by Barry Woodward, second by Pat Giordano. Motion passed meeting adjourned 1:27.

In accordance with current Bylaws Adopted 2013: At the last scheduled meeting of each year an election of officers shall occur. Prior to seeking office a candidate must submit a letter of support from their appointing authority.
If the Board member is seeking re-election to the same post or another position on the executive board, and their CEO, or Commission Chair, Mayor, etc…, has not changed since the original support letter, then an email to the election committee will be sufficient.
Section 4. Election of Officers
One month prior to the elections in December the President will request from the current officers that are up for re-election.
- 4.1 If they intend to seek re-election of office.
- 4.2 Email all known member email addresses requesting if any person is interested in running for any upcoming elections.
- 4.3 Give a deadline for any interested person either seeking a vacated position or running against any incumbent a time line.
- 4.4 If there is not any opposition and the incumbent wishes to remain in office the board will vote to re-elect the member at the last meeting of the year.
- 4.5 If there is opposition the board will take a vote from (board members) on a written ballot to determine who the elected person will be.
- 4.6 If a quorum is not present at the last meeting of the year the president shall call for a vote via email (before year end) that could include a vote on any item listed above from 4.4 to 4.5.
In following (4) 4.6 President Whitaker called for the 2018 election vote via email.

Beginning in the 2019 Elections, voting will be conducted through ballots (by all active members) being cast on the web site. Each vote cast will be checked by the Secretary and Treasurer for verification of member being a paid up to date current member casting their vote.

Election Results and Year-End Summary.
The 2018 General Election for the Association Board was conducted via email ballot as authorized by the President due to the lack of a quorum at the final physical meeting of the year. Ballots were distributed to all voting-eligible members in good standing.

Metro Board Member: Barry Woodward
Incoming officers will assume their duties effective January 1, 2019. The Board notes that all candidates met the citizen and service requirements as outlined in the Association Bylaws.
Financial Update:
The transition to the new website managed by FOI Designs is underway. Hosting fees and the development cost have been approved and allocated for the 2019 budget cycle. Treasurer reports are being finalized for independent review.
Bylaw Implementation:
The amendments approved in October regarding membership categories, revocation procedures, and voting rights are set to be fully integrated into Association policy by the start of the new year.
